1. Introduction

These Terms of Service (“Terms”) govern the use of the website and services provided by Value Profit Trading FZCO (“Value Profit”, “we”, “us”), located in Dubai Digital Park, Dubai Silicon Oasis, Dubai, United Arab Emirates.

By accessing this website or purchasing any services provided by the company, you agree to be bound by these Terms, our Refund & Cancellation Policy and our Privacy Policy.

If you do not agree with these Terms, you should not use this website or any services offered by the company.

2. Nature of the Services

Value Profit Trading FZCO develops software and AI solutions, and provides coaching and training that help businesses and individuals build and use software and AI.

Our services may include:

• Custom software development (web apps, mobile apps, dashboards and internal tools)
• AI solutions, such as AI assistants, chatbots and automations
• One-to-one online coaching on software development and AI
• Online courses and live workshops on software, AI and automation
• Memberships giving access to courses, workshops and coaching for a fixed period

What is included in each product, and for how long, is described on the website, in a written quote or at checkout before you pay.

3. Development Projects

Software and AI development is carried out on the basis of a written quote or agreement that describes the scope, deliverables, price, timeline and payment schedule. Work starts once you have approved the quote.

Changes to the agreed scope are agreed in writing and may change the price and timeline.

Where a project quote and these Terms differ, the quote applies to that project.

4. No Guaranteed Results

We deliver the work described in the quote or product description, but we do not guarantee any specific business, commercial or financial result from using the software, AI solutions, coaching or courses we provide.

Our services are not financial, investment or legal advice. You remain responsible for how you use what we deliver.

5. AI Solutions and AI Output

AI systems generate output automatically. The output may be incomplete or incorrect, and it should be reviewed by a person before you rely on it for important decisions.

AI solutions may rely on third-party AI providers. Their availability, pricing and terms are outside our control, and any ongoing usage costs are described in the project quote.

6. Eligibility and Restrictions

By using this website or purchasing services, you confirm that:

• You are at least 18 years old
• You are legally capable of entering binding agreements
• You comply with the laws and regulations applicable in your jurisdiction

Our services are not offered where they would be unlawful, or to persons or countries subject to sanctions imposed by the United Nations, the European Union, the United States or the United Arab Emirates.

7. Prices and Payment

Prices range from USD 300 to USD 7,500 and are listed in US dollars (USD). If checkout is in another currency, the exact amount and currency are shown before you pay. Any applicable taxes are shown at checkout.

Payments are processed securely by Stripe or another authorized payment service provider shown at checkout. Card details are handled by the payment provider and are never stored by us.

You receive a receipt by email for every payment. By completing a purchase, you agree to the price and payment terms presented during checkout.

8. Memberships and Automatic Renewal

A membership gives access for the period stated at checkout. Before you pay, we show you the price, the length of the period and whether the membership renews automatically.

If a membership renews automatically:

• It renews for the same period and price unless we notify you of a change in advance
• We send you a reminder by email before each renewal
• You can cancel future renewals at any time before the next renewal date by email or phone, without giving a reason
• After cancelling, you keep access until the end of the period already paid for

If the price of a renewing membership changes, we notify you at least 30 days before the new price applies, and you can cancel before it does.

9. Instalment Plans

Larger projects and programs can be paid in instalments or milestones. The total price, the number of payments, the amount of each payment and the payment dates are shown in the quote or at checkout before you pay.

An instalment plan spreads the payment of a project or program whose total price you agreed to in the quote or at checkout. Stopping future instalments does not cancel the amount agreed, except where a refund or right of withdrawal applies under section 11.

If an instalment payment fails, we notify you by email and the payment may be retried. Access may be paused until the outstanding instalment is paid.

10. Delivery and Access

All services are delivered digitally. Nothing is shipped physically. Course access details, dates and joining links are sent to the email address used at checkout. Development work is delivered as described in the project quote, for example as source code, a deployed application or access to a hosted solution.

If you have not received access to a course or membership within 24 hours of payment, please contact us.

11. Refunds, Cancellation and Right of Withdrawal

Due to the digital nature of courses and online programs, purchases are generally final once access has been provided, unless otherwise explicitly stated at the time of purchase. For development projects, cancellation and refunds follow the project quote, and work already carried out is payable.

You are always entitled to a refund if you were charged twice, charged an incorrect amount, or if we are unable to deliver the service you paid for.

If you are a consumer in the European Union, the European Economic Area or the United Kingdom, you have a statutory right to withdraw from a purchase within 14 days. This right, and how it applies to digital content and services that start immediately, is described in our Refund & Cancellation Policy.

12. Promotions and Free Consultations

The conditions of any discount, promotion or offer, including how long it lasts and the price that applies afterwards, are shown together with the offer.

Free consultations are free of charge and do not oblige you to purchase anything.

13. Payment Disputes

If you have a problem with a payment, please contact us first. Most issues can be resolved quickly, and approved refunds are returned to your original payment method.

Nothing in these Terms limits your right to dispute a charge with your bank or card issuer.

14. Intellectual Property

All content provided by Value Profit Trading FZCO, including but not limited to:

• Videos
• Presentations
• Documents
• Course and coaching materials

is protected by intellectual property laws.

Users may not reproduce, distribute, resell, or share any materials without written permission from the company.

Ownership and licence terms for software and AI solutions developed for a client are set out in the project quote.

15. User Conduct

Users agree not to:

• Share or distribute course materials or login details without authorization
• Misuse the services provided, including AI solutions
• Attempt unauthorized access to systems or platforms

We may suspend or end access after a serious or repeated breach of these rules. In that case, no refund is given for the remaining period, except where required by law.

16. Limitation of Liability

To the extent permitted by law, Value Profit Trading FZCO shall not be liable for:

• Indirect losses, such as lost profit, revenue or data
• Business or financial decisions made by users
• Decisions based on AI-generated output that was not reviewed before use

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

17. Third-Party Services

The website may contain references or links to third-party services, such as our payment, booking, hosting and AI providers.

Value Profit Trading FZCO is not responsible for the services, policies, or practices of third-party providers.

18. Modifications

The company may update these Terms. Updated versions are published on this page with a new “last updated” date.

Changes do not apply retroactively to purchases already made. For renewing memberships, material changes are notified by email before they take effect.

19. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the United Arab Emirates.

If you are a consumer, this does not take away the protection of mandatory consumer laws in the country where you live.

If any part of these Terms is found invalid, the remaining parts continue to apply.
